Provider: UPRAISESOFT SRL, CUI 50216435, J40/11586/2024, Str. Stupca 22-32, Bl. CS, Et. 10, Ap. 64, Sector 6, București, 061042, contact@mngclinic.tech. Customer: the clinic named in the order.
- Service. A dedicated, hosted mngclinic instance at its own address on mngclinic.tech, with updates, daily encrypted backups and monitoring. Languages: English, Romanian, Arabic.
- Price and invoicing. The price per clinic per month is the one agreed in the order, plus VAT. Invoiced and paid monthly in advance. The price changes only with three months' notice.
- Support. By e-mail at contact@mngclinic.tech, on a best-effort basis. No uptime is guaranteed unless a separate agreement says so.
- Non-payment. If an invoice is still unpaid one month after its due date, the Provider may suspend the service (the site shows a notice; data is kept and nothing is deleted). Service resumes when payment arrives. After one further month of suspension the Provider may terminate under clause 8.
- The Customer's data. The Customer owns it and remains controller; the DPA governs processing. The Provider never uses it for any other purpose.
- Customer duties. Keep passwords and invites secure, give staff the right roles, use the service lawfully, and keep the clinic's own record-keeping obligations (the Customer decides what to store and for how long).
- Changes and maintenance. Updates are applied by the Provider; planned work is announced in advance when downtime is expected.
- Termination. Either side, one month's written notice. On termination the Provider supplies an export and then deletes the data as in the DPA. Immediate termination for a material breach not fixed within one month.
- Liability. Nothing limits liability that cannot be limited by law. Further liability terms will be added before paid plans start.
- Medical disclaimer. The service is a record-keeping and scheduling tool, not medical advice or a medical device; clinical decisions stay with the clinic's professionals.
- Law. Romanian law applies, and the competent courts of Bucharest decide disputes.
